The exhibits filed herewith are exhibits to the Registration Statement on Form S-3 (file no. 333-216219) of 3M Company (the “Company”), filed with the Securities and Exchange Commission on February 24, 2017. On August 19, 2019, the Company entered into an Underwriting Agreement with Goldman Sachs & Co. LLC, BofA Securities, Inc., Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC, as representatives of the several underwriters named therein, relating to the sale of $500,000,000 aggregate principal amount of the Company’s 1.750% Notes due 2023, $750,000,000 aggregate principal amount of the Company’s 2.000% Notes due 2025, $1,000,000,000 aggregate principal amount of the Company’s 2.375% Notes due 2029 and $1,000,000,000 aggregate principal amount of the Company’s 3.250% Notes due 2049.
