On November 14, 2014, Sharon Percy Rockefeller notified PepsiCo, Inc. ("PepsiCo") of her decision not to stand for re-election to the Board of Directors (the "Board") when her current term expires at PepsiCo’s 2015 Annual Meeting of Shareholders. Ms. Rockefeller will continue to serve as a member of the Board until the 2015 Annual Meeting of Shareholders.
