DIRECTOR/PDMR SHAREHOLDING

Royal Dutch Shell plc (the "Company") received notice on September 1, 2015 from
Mr Simon Henry, a Director of the Company, that on August 28, 2015 he purchased
10,000 Royal Dutch Shell plc A shares at a price of €23.1938 per share.
The transactions took place in Amsterdam.
This notification relates to a transaction notified in accordance with DR 3.1.4
