Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 3, 2019, Peter B. McNitt notified the Board of Directors (the “Board”) of Titan International, Inc. (the “Company”) that he will not stand for re-election at the Company’s 2019 annual meeting of stockholders. Mr. McNitt currently serves as the Chairman of the Corporate Governance Committee and a member of the Audit, Compensation and Nominating Committees. Mr. McNitt’s decision not to stand for re-election to the Board was due to a disagreement with the Company's Chairman of the Board concerning the process for conducting an internal review of a matter unrelated to Mr. McNitt. The Company thanks Mr. McNitt for his contributions to the Board during his tenure as a director.
