Transactions in shares by Persons Discharging Managerial Responsibilities ("PDMRs")

The following notification and announcement made under article 19 of the Market Abuse Regulation ('MAR') relate to granting of options to PDMRs under the DS Smith 2008 Performance Share Plan ("PSP") and the DS Smith Deferred Share Bonus Plan ("DSBP").
On 15 July 2019 the Company granted in accordance with the provisions of the Company's approved Remuneration Policy the following nil-cost options over Ordinary Shares of 10p each ("Shares") under the terms of the PSP and the DSBP:

These awards will normally vest on the third anniversary of grant, being 15 July 2022. The awards under the PSP are subject to performance conditions and a two-year holding period applies to the Executive Directors from the vesting date in respect of any Shares which vest under this PSP award.
