On December 21, 2016, Enbridge Inc. (the “Company”) announced that the Company and Spectra Energy Corp (“Spectra Energy”) have received notice from the Committee on Foreign Investment in the United States (“CFIUS”) that it has concluded its review of the proposed combination of the Company and Spectra Energy and determined that there are no unresolved national security concerns with respect to the proposed combination. Receipt of clearance by CFIUS is a condition to the closing of the proposed combination under the Agreement and Plan of Merger among the Company, Spectra Energy, and a direct wholly owned subsidiary of the Company, but the completion of the proposed combination remains subject to certain additional regulatory approvals and other customary closing conditions.
