Grant of SAYE Options and PDMR Dealings
The Company has today granted options to the following Persons Discharging Managerial Responsibilities ("PDMRs") under the Breedon Group Savings Related Share Option Scheme (the "SAYE Scheme").
�
Under the terms of the SAYE Scheme, the PDMRs listed below are committed to making contributions over a five-year period.� As at 1 July 2023 these accumulated funds can then be withdrawn from the SAYE Scheme as cash or used to exercise options over Ordinary Shares of nil par value in the Company ('Ordinary Shares') which have been granted at 66.4 pence per ordinary share in accordance with the terms of the SAYE Scheme. Assuming full participation in the SAYE Scheme, the PDMRs listed below would have an option over the number of shares in the Company set out below.

The Company has today also been notified that Ross McDonald has exercised an option granted to him under the SAYE Scheme in 2015 and accordingly has acquired 8,430 Ordinary Shares at a price of 42.7 pence per Ordinary Share.

As at today there are 1,678,876,614 Ordinary Shares in issue. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
