The Company has been notified that Clive Watson, non-executive Director of Breedon Group plc, has purchased 27,500 ordinary shares in the Company ('Ordinary Shares') at a price of 86.80p per Ordinary Share, to be held in his SIPP.� As a consequence, Mr Watson now has an interest in 100,000 Ordinary Shares representing approximately 0.006% of the Company's total voting rights.

As at today's date, the Company has 1,682,983,141 Ordinary Shares in issue, none of which are held in treasury.� This figure may therefore be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
