Item 5.02. — Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 6, 2018, United Parcel Service, Inc. (“UPS”) filed a Current Report on Form 8-K to report the promotion of James J. Barber, Jr., UPS’s President of UPS International, to the position of Senior Vice President and Chief Operating Officer of UPS. This amendment updates Item 5.02 in the original report to disclose additional information regarding the compensatory arrangements of Mr. Barber.

On March 22, 2018, the Compensation Committee of UPS’s Board of Directors approved the following changes to Mr. Barber’s compensation. Effective March 5, 2018, Mr. Barber will receive an annual base salary of $720,000 in his position as Senior Vice President and Chief Operating Officer and his target percentage under UPS’s Long-term Incentive Performance Plan will increase from 450% of his base salary to 575% of his base salary.
