Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective September 30, 2015, Jeswant S. Gill’s employment ceased with the Company, and he will no longer serve as Vice President and Executive Vice President, Industrial Segment. In addition to the compensation that Mr. Gill will receive pursuant to his Employment Agreement, he will receive six months of continuing medical coverage.
