Item 7.01.
Regulation FD Disclosure.

On May 31, 2019, Michael Nierenberg, Chairman, Chief Executive Officer and President of New Residential Investment Corp. (the “Company”), exercised options relating to Company common stock, and increased his holdings of Company common stock by approximately 52,000 shares.  Mr. Nierenberg net settled his option exercise, and did not sell any shares of Company common stock into the market.
