Centrais Elétricas Brasileiras S/A (“Company” or “Eletrobras”) (B3: ELET3, ELET5 & ELET6; NYSE: EBR & EBR.B; LATIBEX: XELT.O & XELT.B) in compliance with Annex 30-XXXIII of CVM Instruction No. 552, dated October 9, 2014, hereby informs its shareholders and the market in general of the following related party transaction, realized on January 28, 2019:

Related Party Names

Special Purpose Company (“SPE”) Madeira Energia S/A (“MESA”), Special Purpose Company (“SPE”) Santo Antônio S/A (“SAESA”), Banco Nacional de Desenvolvimento Econômico e Social (“BNDES”) and Eletrobras.

Issuer Relationships

SPE SAESA is a wholly owned subsidiary of SPE MESA, whose Eletrobras subsidiary Furnas is one of its shareholders.

Date of the transaction

January, 28 2019

Object of the Agreement

Increase in the amount of the guarantee resulting from an increase in the equity interest from 42.46% to 43.05% of subsidiary Furnas in the stock capital of SPE SAESA.

Main Terms and Conditions

Agreement No. 08.2.1120.1 – BNDES, in its Seventeenth Clause, paragraph one states: “The parties hereby undertake to enter into amendment to this consolidated Agreement in the event of a disproportionate capital increase in MESA resulting in the dilution of the equity interests of one shareholder in relation to the others, so as to keep current the equity interests held by each of the shareholders as described herein. The shareholders FURNAS and SAAG subscribed 133,107,991 shares, in the total amount of R$ 57,436,098.19, duly paid on December 21, 2018.

 

As a result of this fact, the Board of Directors of MESA, at an extraordinary meeting held on January 28, 2019, approved the partial capital increase, in the amount of R$ 57,436,098.19, through the issuance of 133,107,991 common shares, nominative and without par value.

Comparison of the loan interest rate with the rates of other loans received by the borrower, explaining the reasons for any discrepancies.
