(1) Represents shares earned in connection with the qualified performance-based stock previously granted and unreportable on February 12, 2013 pursuant to the issuer's long-term incentive plan. Shares were earned based upon the level of attainment of certain performance objectives and continued employment. These shares fully vested on February 16, 2016 following certification by the Issuer's compensation committee.
(2) Includes 5,263 restricted stock units ("RSUs") granted pursuant to the issuer's long-term incentive plan: 652 granted on August 21, 2012 that vest on August 21, 2017; 1,267 granted on February 12, 2013 that vest on February 12, 2018; 812 granted on February 20, 2014 that vest on February 20, 2017and 1,084 granted on February 17, 2015 that vest on February 17, 2018. The 1,448 RSUs reported on this Form 4 vest on February 16, 2019.
(3) Represents shares required to satisfy tax withholding obligations in connection with the vesting of 2,709 shares of qualified performance-based stock granted to the Reporting Person on February 12, 2013.
(4) Granted pursuant to the issuer's long-term incentive plan. Award vests as follows: 1,872 vest in on February 16, 2017; 1,871 vest on February 16, 2018 and 1,871 vest on February 16, 2019.
